Website and Portal Terms

These Website and Portal Terms ("Terms") govern access to websites and online services operated by Hello There You LLC ("Hello There You," "HTY," "we," "us," or "our"), including HTY-controlled websites, proposals, agreements, invoices, client portals, forms, galleries, and related pages (collectively, the "Online Services").

By using the Online Services, you agree to these Terms. If you use the Online Services on behalf of an organization, you represent that you are authorized to act for that organization.

1. Service Agreements control event services

These Terms govern the Online Services. They do not, by themselves, book an event or create an obligation for HTY to provide event services.

Event services are governed by the proposal, agreement, invoice, order, or other written service agreement accepted by HTY and the client (the "Service Agreement"). If these Terms conflict with a Service Agreement, the Service Agreement controls for that event or engagement.

Pricing, availability, descriptions, and examples displayed online may change and are not final until confirmed in an applicable Service Agreement.

2. Access links and authorized use

Some Online Services use private or time-limited links rather than a traditional account. You are responsible for safeguarding links, tokens, passwords, and other access credentials provided to you.

You may use the Online Services only for lawful purposes and in connection with your own inquiry, event, business relationship, or authorized gallery access. You may not:

  • access another person's or organization's private records without authorization;
  • probe, disrupt, overload, or circumvent security or access controls;
  • scrape, copy, or automatically extract content except as allowed by law or written permission;
  • upload malicious code or content that violates another person's rights;
  • impersonate another person or misrepresent your authority;
  • reverse engineer the Online Services except where applicable law does not permit that restriction; or
  • use HTY content, client information, or event media to train a machine-learning system without permission from the relevant rights holder.

Contact HTY promptly if you believe a private link or credential has been lost, forwarded unintentionally, or misused.

3. Information and materials you submit

You retain your rights in information, graphics, photographs, videos, documents, and other materials you submit through the Online Services ("Submitted Materials").

You grant HTY a limited, non-exclusive license to host, copy, process, modify as technically necessary, and deliver Submitted Materials only as needed to:

  • respond to your request;
  • prepare or provide an event service or deliverable;
  • operate the Online Services;
  • comply with the Service Agreement; or
  • meet legal, security, and recordkeeping obligations.

You represent that you have the rights and authority needed to provide Submitted Materials for those purposes.

Submitting materials, attending an event, or using the Online Services does not grant HTY blanket or perpetual permission to use identifiable event content in HTY marketing. HTY seeks explicit client permission before publishing event photos or videos for its own promotional use. Any broader promotional license must be separately agreed.

4. Event media and galleries

Gallery access, event-media delivery, usage rights, and client responsibilities may be governed by the applicable Service Agreement and HTY Privacy Policy.

A gallery or delivery link may be intended for a limited audience. Do not publish or forward a private link unless you are authorized to do so. Downloading media does not transfer copyright or grant uses beyond those allowed by the Service Agreement or other written permission.

Event hosts are responsible for providing required notices to attendees and obtaining any consent required for minors to participate. HTY will review parent or legal guardian requests concerning identifiable media or personal information involving a child in coordination with the client or event host. HTY may remove, restrict, or suspend access to media when reasonably necessary to address privacy, safety, rights, legal, or contractual concerns.

5. Proposals, agreements, signatures, and invoices

A proposal selection is not a booking unless the applicable Service Agreement states otherwise and all required acceptance, signature, and payment steps are completed.

Electronic signatures and approvals submitted through the Online Services are intended to have the same effect as signatures or approvals provided on paper, to the extent permitted by law. You represent that information you submit as a signer or payer is accurate and that you are authorized to act in that role.

Invoice and payment information displayed online may reflect processing or reconciliation delays. HTY's records and the applicable payment processor's confirmed transaction status control if a display discrepancy occurs.

6. Payments

Online card and bank-payment credentials are processed by HTY's payment processor. HTY does not intend to store full card numbers or card security codes.

Payment obligations, deposits, due dates, refunds, cancellations, late fees, and other financial terms are governed by the applicable Service Agreement and invoice, not these Terms.

7. HTY content and intellectual property

The Online Services and their original text, design, software, graphics, trademarks, and other HTY-provided content are owned by HTY or its licensors and protected by applicable law.

HTY grants you a limited, revocable, non-transferable right to access and use the Online Services for their intended purpose. No other rights are granted by implication.

Third-party names, logos, event graphics, and client materials remain the property of their respective owners.

8. Privacy and tracking

HTY's Privacy Policy and Cookie and Tracking Notice explain how personal information and online activity are handled. By providing personal information, you acknowledge that it will be processed as described in those notices and any applicable Service Agreement.

9. Third-party services

The Online Services may rely on or link to third-party services, including payment, authentication, storage, mapping, email, media, analytics, and hosting providers. Third-party services are governed by their own terms and policies. HTY is not responsible for a third party's independent acts or availability, except as required by law or expressly stated in a Service Agreement.

10. Availability and changes

We may update, suspend, restrict, or discontinue an Online Service or feature. We do not guarantee uninterrupted or error-free access. When practical, we will work to preserve access to active client deliverables or provide another reasonable delivery method, subject to the Service Agreement.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ONLINE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HTY DISCLAIMS WARRANTIES REGARDING THE ONLINE SERVICES THAT ARE NOT EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nothing in these Terms excludes a warranty or right that applicable law does not allow us to exclude.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HTY WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM USE OF THE ONLINE SERVICES.

HTY'S AGGREGATE LIABILITY ARISING ONLY FROM THE ONLINE SERVICES UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SPECIFICALLY FOR THE ONLINE SERVICE GIVING RISE TO THE CLAIM DURING THE PRECEDING 12 MONTHS.

This limitation does not replace or modify liability terms in an applicable Service Agreement and does not apply where prohibited by law.

13. Indemnification

To the extent permitted by law, you agree to defend and indemnify HTY from third-party claims arising from your unlawful use of the Online Services, your material breach of these Terms, or Submitted Materials you provided without the required rights or authority.

This section does not require an individual consumer to indemnify HTY where applicable law prohibits it.

14. Suspension and termination

HTY may suspend or terminate access to an Online Service when reasonably necessary to address security, fraud, misuse, legal obligations, expired access, or a material breach of these Terms or a Service Agreement.

Sections that by their nature should survive termination will survive, including provisions concerning ownership, submitted-material licenses, disclaimers, liability, indemnification, and disputes.

15. Governing law and disputes

Before filing a court action, a party must send the other party written notice describing the dispute and requested resolution. Notices to HTY must be sent by email to hello@hellothereyou.com or by mail to the address in Section 18. HTY may send notice to the email or mailing address associated with the person's account, transaction, or communication with HTY. The parties will then use good-faith efforts to resolve the dispute informally for 30 days after the notice is received. This requirement does not prevent either party from bringing an eligible claim in small-claims court or seeking urgent temporary or injunctive relief when necessary to prevent immediate harm.

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Except for an eligible claim brought in small-claims court, any dispute arising from these Terms or the Online Services must be brought exclusively in the state or federal courts located in King County, Washington. Each party consents to the personal jurisdiction and venue of those courts.

16. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted with a revised effective date. Changes apply prospectively unless otherwise required by law.

17. General terms

If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without HTY's consent; HTY may assign them in connection with a reorganization, financing, merger, sale, or transfer of its business. These Terms and the incorporated privacy notices are the entire agreement concerning the Online Services, subject to any controlling Service Agreement.
